PORT OF LOS ANGELES (CALIFORNIA, USA)
Don Breazeale and Associates, Inc. (DBA) was initially engaged at the Port for a number of years as an advisor to the Executive Director and the Director of Business Development. At various times, and in our position as advisor to senior management at the Port, we conducted business unit audits, assisted the Port in the development of a Marketing Strategy and Marketing Plan, in the reorganization of the Marketing Department, and made recommendations regarding personnel. In addition to these duties we conducted negotiations for the fees to be paid by the railroads for the Alameda Corridor-the largest iIntermodal project in the world with a total budget of USD$2.7 billion. On two separate occasions we conducted a detailed Capabilities and Needs Analysis that included an evaluation of the current and future needs of the Port's current and potential clients.

OREGON INTERNATIONAL PORT OF COOS BAY

DBA has been consulting to the Port on a wide variety of issues including acquistion of a rail line from Fortress, completion of a Railroad Rehabilitation Infrastructure Loan from the Federal Rail Administration, negotiations with the BNSF and UPRR regarding access and rates, negotiations regarding the purchase of an additional rail line, and marketing. All issues have moved forward in a positive manner and DBA is still engaged by the Port.

ENAPOR – (EMPRESA NACIONAL DE ADMINISTRACAO DOS PORTAS, S.A.) PORT AUTHORITY OF CAPE VERDE
DBA conducted a detailed Feasibility Study for a major transshipment port and global logistics center in Cape Verde; USD$270 million project. The project proved to be feasible and a decision was made to move forward to Phase II-Implementation. DBA was selected as the Consultant for Phase II.

CAMEROON-PORT OF LIMBE
DBA conducted a detailed pre-feasibility and feasibility study for this project which included the development of a major gateway and transshipment port, a port rail link, and roadway project valued at $360-$400 million. This included an analysis of the logistics system in Cameroon, evaluation and analysis of customs procedures, and an analysis of the legal and governmental issues involved in the creation of a new deepwater port and a logistics system for the country.

PORT OF BIZERTE (TUNISIA)-OFFICE DE LA MARINE MARCHANDE ET DU PORTS (OMMP)
OMMP selected DBA to conduct a detailed Feasibility Study for the Port of Bizerte to determine if this port could be developed as a major transshipment port. DBA successfully completed the Feasibility Study and it was determined that the transshipment Port of Bizerte is feasible.

PORT OF PORTLAND (OREGON)
DBA conducted a analysis of the Maritime Department and recommended changes in overall Port strategy, personnel, organizational changes, and marketing and these recommendations were, in the main, implemented. This resulted in the Port becoming profitable for the first time in fifteen (15) years. DBA also worked under a limited scope to advise the port on competitive issues.

PORT OF SAN DIEGO (CALIFORNIA)
DBA conducted a Capabilities and Needs Analysis and Market Survey for the Port. Specific recommendations were made in the report and resulted in changes in marketing strategy. These changes resulted in new business being created for the Port.

PORT OF LONG BEACH (CALIFORNIA)
DBA provided advisement on rail negotiations with the Burlington Northern Santa Fe Railroad and the Union Pacific Railroad regarding the development of the Alameda Corridor in Los Angeles. DBA conducted negotiations for the fees to be paid by the railroads for the use of the Alameda Corridor. This resulted in the fee structure currently used by the Alameda Corridor Authority.

PORT OF ENSENADA (MEXICO)

DBA provided advisory services to the Executive Director regarding Punta Colonet and Ensenada.

RAIL AND INTERMODAL PROJECTS (ADDITIONAL PROJECTS WILL BE PROVIDED UPON REQUEST)

BURLINGTON NORTHERN SANTA FE RAILROAD
While providing overall advisement with regard to business and strategic planning to two of the senior managers we assisted in the development of a strategy that eventually led to the re-organization of the railroad’s operations and marketing functions into the Intermodal Business Unit and the Carload Unit. In addition, we conducted a business unit audit of the Customer Service Department and we recommended key changes in the organization and management of that department; our recommendations were implemented. We also conducted an analysis of the department dealing with rates and tariffs and this resulted in that department being eliminated and these functions being absorbed into other business units; eliminated redundancy in the system. In addition DBA provided assistance in the development of the railroads international department. DBA was credited with assisting BNSF in its efforts to expand the railroads share of the international trade. BNSF was successful in its efforts rising from last in international business among the railroads to number two in the nation.

UNION PACIFIC RAILROAD
Don Breazeale and Associates provided professional advisement to the Chairman and the Vice President-Marketing with regards to organizational issues and strategy.

MEMPHIS INTERMODAL SUPER TERMINAL (TENNESSEE, USA)
This project involved a truck, rail, and barge facility on four thousand acres. DBA conducted a pre-feasibility study and a feasibility study that concluded that the project was feasible. The Port Commission and the Steering Committee approved the study and elected to move forward with the project ($260,000,000). We acted as overall Project Manager bringing together various other consultants engaged by the client to handle different parts of the project including, but not limited to, business and strategic planning, financial engineering, carrier negotiations, environmental studies, traffic modeling, and cost/benefit analysis. We prepared a complete Business and Strategic Plan and an Implementation Plan including financial documents in support of the Plan. The first phase of this project was constructed and is being sucessfully operated by CNIC..

TENNESSEE STATE DEPARTMENT OF TRANSPORTATION-STATEWIDE RAIL SYSTEM STUDY
DBA, working with another consultant team, conducted the first Statewide Rail Plan Study in the history of the State of Tennessee. This included a detailed study of roadway issues, river ports, freight rail (Class I and Shortline) and passenger rail and the impact of freight movement in and out of the State. The Consulting Team conducted extensive public/private sector outreach sessions, and interviewed shippers, rail and truck carriers, local governmental agencies, as well as federal agencies that might have an impact on the study and/or might provide input to the State DOT. A plan was developed and the recommendations contained in the report were, for the most part, implemented.

PUBLIC FACILITIES BOARD-VAN BUREN, ARKANSAS-REGIONAL INTERMODAL CENTER
DBA conducted a Feasibility Study regarding the creation of an intermodal yard and it was determined that the project was feasible. We were then chosen for the implementation phase of this project. One riverside terminal was developed.

MINISTRY OF RAILWAYS (MOR)-PEOPLES REPUBLIC OF CHINA
DBA conducted an extensive Feasibility Study focused on the intermodal rail system in he PRC. This included a detailed assessment of the existing intermodal system, an analysis and evaluation of all the component parts of the MOR organization and management scheme, staffing, rates and tariffs, equipment, and facilities. In addition, we created a detailed financial forecast with projections for a 20-year plan. Don Breazeale and Associates, Inc. introduced the Union Pacific Railroad and MOR and recommended a Joint Venture. This eventually resulted in the formation of Sino-Rail which also included CSX.

HONG KONG-KOWLOON RAILWAY

DBA was asked to provide advisement regarding the integration of the Hong Kong-Kowloon Railway system with the railway system in the PRC. We were able to successfully assist the Hong Kong-Kowloon Railway in its negotiations with the Ministry of Railways-PRC and the systems were integrated.

NATIONAL RAILWAY OF BULGARIA (BDZ)
DBA conducted a Feasibility Study, including an evaluation of the rail system, equipment, and intermodal capabilities. We also prepared investment grade financials based on the World Bank standards which allowed BDZ to finally comply with the World Bank criteria and to once again become eligible for World Bank Funding. We also provided an analysis and evaluation of the organizational and management systems as well as the day-to-day operations of the railroad and its attendant businesses. DBA worked with the U.S. Embassy in Bulgaria and with SHAPE Headquarters in Brussels to negotiate a contract for the transport of all NATO supplies and personnel destined for the former Yugoslavia on the national railway. The Bulgarian Parliament ratified this contract and BDZ was awarded this contract. DBA also conducted classes in operations, management, and marketing for BDZ staff. DBA organized an orientation visit to the USA for the General Manager and Chief Financial Officer of BDZ that included a one week seminar at the headquarters of the Union Pacific Railroad with key members of the executive management group from the UPRR.

SANTA TERESA INTERMODAL FACILITY-NEW MEXICO STATE HIGHWAY DEPARTMENT (NEW MEXICO, USA)
Don Breazeale and Associates conducted a pre-feasibility study and a feasibility study focused on establishing a rail intermodal yard at Santa Teresa and the development of a new rail line from that juncture into Mexico to a point just below Juarez (Mexico) where the line would join the mainline in Mexico. This project was successfully completed and a second phase was approved.

SOUTHERN CALIFORNIA ASSOCIATION OF GOVERNMENTS-SCAG (CALIFORNIA, USA)
Don Breazeale and Associates assisted in the formation of the SCAG Goods Movement Advisory Board and initiated involvement of the private sector. We were chosen to provide advisement to the Truck Lane Task Force and the Goods Movement Advisory Board. We also conducted a major rail study for SCAG, including a complete operational and financial assessment of all rail lines within the SCAG Region. We assisted SCAG in their negotiations with the Class I railroads for acquisition of all remaining non-publicly owned rail lines within the SCAG Region. DBA handled all of the preliminary negotiations and relationships with the railroads on behalf of the agency and the Executive Director.

OK FOODS TRANSPORTATION (ARKANSAS)

DBA provided advisement regarding rail to OK Foods Transportation and hands-on assistance with regards to the movement of product.

ALVAREZ AND MARSAL

DBA provides assistance with regards to the transportation elements of the EUL projects that Alvarez and Marsal organizes for the military. This includes development of data and information for RFP's, analysis and evaluation of RFP Responses, and hands-on assistance with negotiations on an as needed basis.

Mid-Michigan Global Logistics (MMGL)-GLOBAL LINK NETWORK (GLN)

DBA is currently working as an advisor to MMGL with regards to their efforts to develop a global logistics company and a major intermodal site in Flint, Michigan. DBA is also a shareholder in MMGL.

Vikram Integrated Logistics and Maritime Private, Limited-India (VLMS)

DBA has provided a wide variety of consulting services to this major Indian domestic logistics company with regard to their efforts to become a global logistics company. DBA has provided the opportunity to form strategic alliances for VLMS with a wide variety of strategic partners with global or regional capabilities. In addition we provided VLMS with a Business and Strategic Plan, Marketing and Sales Plan, Implementation Process, and successfully assisted them in their efforts to hire a full time person (Lloyd Sanford) to work in their logistics group in India.

STATE OF CALIFORNIA, DEPARTMENT OF TRANSPORTATION-(CALTRANS)
DBA, working with another consulting team, conducted a Cost/Benefit Analysis that included an extensive analysis of the Ports in California including the onward freight delivery system (rail, truck, warehouse/distribution, et al). We also assisted in an economic analysis of the regional and national impact of a major labor dispute. This project can be reviewed on the Caltrans website and is entitled “California Freight Movement Cost Benefit Study”. DBA was a contributor to the Global Gateways Project, a major trade and transportation study initiated by Caltrans as a guide to major investment projects and an assessment of the goods movement industry in California. DBA also organized and facilitated on behalf of Caltrans and the Business, Transportation, and Housing Agency, public-private outreach meetings with key transportation stakeholders. These meetings resulted in closer ties between the Department and the stakeholders and to potential goods movement demonstration projects.

UNITED STATES DEPARTMENT OF TRANSPORTATION AND FEDERAL HIGHWAY ADMINISTRATION
DBA provided advisement to the USDOT Secretary of Transportation and key staff on freight issues and provided coordination with other federal, state, and local agencies as well as private entities involved in goods movement. We organized and facilitated public-private sector outreach meetings that resulted in the formation of the National Freight Partnership whose membership included government agency representation and private sector companies. We also provided assistance in the preparation of Congressional reports as they related to goods movemnent.

LOS ANGELES COUNTY METROPOLITAN TRANSPORTATION AUTHORITY (MTA)
DBA provided assistance to MTA in their efforts to coordinate their activities with other public agencies. We also provided assistance with private/public sector outreach. The research and development staff at MTA, with assistance from Don Breazeale and Associates, Inc., conducted detailed interviews with key decision makers from the major transportation users and providers in the region. This included, but was not limited to, on-site visits to establish data sources for freight modeling. DBA provided assistance in the development of an innovative process for data collection and freight modeling that included, but was not limited to, data collected by origin and destination, commodity, modality, and corridor. This data will be used for long-term transportation planning and freight modeling but can also be utilized by other agencies that might require data and information about a specific corridor;

CITY OF ENCINITAS (CALIFORNIA, USA)
DBA prepared the preliminary plan and conceptual design for a major rail project ($270 million) in the City, and conducted private/public sector outreach workshops/meetings. We also developed the flow of work for rail infrastructure changes in the city, and assisted in the negotiations with the Regional rail authority. DBA was hired to provide overall project management for this $276 million project. DBA involved the California Department of Transportation (Caltrans) in this project and successfully negotiated with them to conduct a corridor-wide study along the rail corridor from Los Angeles (California) to San Diego (California). DBA also worked on behalf of the City with the North County Transit Authority (California) and other key agencies involved in the Los Angeles to San Diego, California Corridor.

CITY OF VISTA (CALIFORNIA, USA)
DBA worked on behalf of the City with the Public Utilities Commission, other City governments and interested parties in the region, on the East-West Rail Corridor.
